Terms of Service
The agreement between you and Sellveera when you use this website or buy a service on it. Written to be read before you check out, in plain language.
Last updated
In Plain Terms
- You buy a service with its deliverables, timeline and price written on its page. That list is what we deliver.
- Prices are in rupees with 18% GST included, paid by UPI through our payment gateway partner. Nothing is added at checkout.
- One revision round is included. Anything that changes the brief is quoted separately and never started without your written go-ahead.
- Once you have paid in full, the work we made for you is yours. Our liability is capped at what you paid for that service.
This summary is not the agreement. The numbered clauses below are what binds us both, and where they read differently, the clauses win.
1. Scope of these terms
These terms are a binding agreement between you and Sellveera covering this website and every service bought through it. By browsing the site, creating an account or placing an order, you accept them.
By ordering, you confirm that you are at least 18 years old and, if you are ordering for a business, that you are authorised to do so.
These terms work together with our Refunds & Cancellation policy, our Delivery & Timelines policy and our Privacy Notice. Where you and we have signed a separate written agreement, that agreement takes priority where the two conflict.
2. Who you are contracting with
Your contract is with SELLVERA TECHNOLOGIES PRIVATE LIMITED, registered at 1st Floor, 962/171, Papareddypalya, Nagarbhavi, Bengaluru, Bengaluru Urban, Karnataka, 560072., GSTIN 29ABRCS6015N1ZJ, trading as Sellveera.
We deliver the work ourselves; this is not a marketplace. Where we bring in a specialist for part of a service, we remain responsible to you for all of it.
3. What a service is
A service is a one-time, fixed piece of technology work at a fixed price. Each service page shows its deliverables, timeline, who it suits, what we need from you and its price before you pay.
- Scope is the list of deliverables on the service page on the day you paid. Work not on that list is not part of the service.
- Deliverables are what you receive: working software or settings, reports, designs, tests, documents or a written answer.
- What we need from you is the list of items on the service page that we must have before work can start.
- Delivery is the point at which every deliverable has been handed over, together with a short handover note.
- A working day is Monday to Saturday, excluding public holidays in India.
Nothing sold here is a physical product. Buying more than one of the same service repeats the scope rather than enlarging it. A few services run monthly after an onboarding period; each purchase of those covers one month and nothing renews by itself.
A service is not a block of hours, a reserved team or a retainer. There is no minimum term and no notice period.
4. Orders, accounts and guest checkout
You can check out as a guest or with an account. Orders placed as a guest appear in your dashboard when you sign in or create an account with the same email address. If you keep an account, please protect your password and tell us at once if you think someone else has used it. We may suspend an account we reasonably believe is being misused, and we will tell you why.
Adding a service to your basket is not an order. An order is placed when you complete checkout, and it is accepted only once our payment gateway partner confirms the payment and we send the order confirmation. Until then there is no contract for that work.
We may decline an order and refund it in full where:
- the service would not actually help you, and we would rather say so than keep the money;
- the details given are incomplete, inaccurate or obviously test data;
- doing the work would break the law, a platform’s rules or someone else’s rights;
- a listing or pricing error comes to light before work starts;
- we cannot deliver the service within the timeline shown.
5. Prices, GST and payment
- All prices are in Indian rupees and include 18% GST. Your basket and checkout show the GST portion separately; the total does not change and nothing is added afterwards.
- A tax invoice showing the GST and our GSTIN 29ABRCS6015N1ZJ is issued to the billing details you enter at checkout. Add your registered business name, address and GSTIN there if you want to claim input tax credit.
- Payment is by UPI through our payment gateway partner. Your UPI PIN, card numbers and banking passwords are handled by the gateway and never reach our servers.
- No work starts until the payment is confirmed. If money has left your account but the order still shows unpaid after 48 hours, send us the order number and UPI reference and we will reconcile it.
- Prices on the site can change. The price shown when you paid is the price for that order.
- Any discount is a genuine reduction on our own price. We do not show inflated “original” prices to make a discount look bigger.
- Third-party running costs are not included unless the service page says so: hosting, cloud usage, subscriptions, domain and certificate fees, app store charges and paid API quotas are billed to you directly by those providers.
6. Starting, delivery and acceptance
Every service page shows a timeline in working days. The clock starts only when your payment is confirmed and we have received the items listed under “What we need from you” on that page. We then confirm the delivery date in writing.
- Delivery is remote. Work goes into your own repositories and accounts where relevant; reports, documents and answers arrive by email and on the order in your dashboard.
- The clock pauses while we are waiting on you, and the date moves by the length of the pause.
- If we are going to miss a date, you hear about it before the date, with the reason and a new date.
Acceptance. After delivery you have 7 working days to tell us in writing that something listed on the service page is missing or materially wrong, and we put it right. If you tell us nothing in that time, or you put the work into live use, the service counts as accepted. Acceptance does not shorten the revision round or the 15-day fix in clause 14.
Our Delivery & Timelines policy covers the details, including timelines by practice and what pauses the clock.
7. Revisions and new work
Every service includes one revision round within 15 days of delivery, unless its page says otherwise. A revision brings what was delivered into line with the service page: corrections, adjustments and tightening. Please send it as one consolidated list.
A revision is not a way to rewrite the brief. These are new work rather than revisions:
- deliverables that were never on the service page;
- a change of direction, platform or design after work began;
- requirements that existed at the start but were not shared with us;
- rework caused by a third-party system changing on your side.
We quote new work separately and in writing, with its own price and its effect on the date. Nothing extra is started or charged until you agree in writing.
If we realise partway through that the service you bought will not do the job, we stop and tell you. You can then swap to a different service or take a refund under the Refunds & Cancellation policy.
8. What we need from you
A timeline depends on both sides. You agree to:
- give accurate contact and billing details, and an email address you check;
- send the items listed under “What we need from you” on the service page, such as access, files, sample data or the question itself;
- give access at the narrowest level the work needs, and remove it after delivery;
- name one person who can answer questions and make decisions, and keep them reachable while the work is under way;
- reply to our questions and review requests within 7 working days;
- confirm that anything you give us, such as code, content, designs, brand assets or data, is yours to share and is accurate;
- use anonymised, masked or sample data wherever it will do. Do not share live personal data unless the service needs it and we have agreed in writing how it will be handled;
- keep your own backups, and review and test what we deliver before relying on it.
While we are waiting on you, the clock pauses and the date moves by the same amount, at no extra charge. If we are still waiting 30 days after asking, clause 16 applies.
9. Who owns the work
In short: you own what we make for you, and we keep the general tools and know-how we bring to it.
- Your material. Code, content, data, designs, trade marks and brand assets you give us remain yours. We use them only to do the work.
- The work we make for you. Once you have paid in full, all rights in the deliverables created specifically for your order pass to you. We keep no right to resell them and no claim over what you do with them.
- Before payment is complete, the deliverables remain ours and may be used only to evaluate them.
- Our existing material. Tools, templates, checklists, reusable code and methods we owned before your order, or develop for use across customers, remain ours. Where any of it is built into your deliverables, you receive a permanent, royalty-free licence to use, change and pass it on as part of those deliverables.
- Open-source and third-party components stay under their own licences. We list them in the handover note, and we ask you first before using anything with restrictive licence terms.
- Naming you. We will not name you as a customer or show your logo without your written permission.
The design, text, code and catalogue of this website belong to Sellveera and may not be copied or republished without permission.
10. Confidentiality
- Confidential information means anything either side shares that is marked confidential or that a reasonable person would treat as confidential: code, systems, credentials, plans, customer lists, prices agreed privately, security findings and unreleased work.
- Each side will use it only for the order, share it only with people who need it for that purpose, and protect it at least as carefully as its own.
- This does not cover information that is already public through no breach, was already lawfully known, is developed independently, or must be disclosed by law. In that last case we will tell you first unless the law prevents it.
- These obligations last for 3 years after the order is complete, and indefinitely for source code, security findings and trade secrets.
- Findings from a security test or review are reported to you alone. We never publish or share them without your written consent.
- If you would like a mutual non-disclosure agreement before sharing details, ask and we will sign a reasonable one.
11. Personal data
How we handle personal data about you, from checkout, your account, contact forms and the newsletter, is set out in our Privacy Notice, written in line with the Digital Personal Data Protection Act, 2023.
Where a service needs us to handle personal data about your customers or users, you remain responsible for that data as the Data Fiduciary, and we act only on your documented instructions. In that case we agree in writing, before work starts, how the data will be protected, who may access it and how it will be deleted at the end.
12. Third-party services
- Hosting, cloud platforms, software subscriptions, app stores, domain registrars and similar services are set up in your name and paid by you directly. That way nothing has to be moved if you stop working with us.
- Their availability, pricing, limits, rule changes and account decisions are outside our control. We are not liable for an outage, a suspension, a breaking change or a price rise imposed by a third party, though we will point out risks we can see coming.
- Where a service depends on a paid plan, licence or quota, the service page says so. Buying it is your decision and your cost unless we have agreed otherwise in writing.
- Third-party licence terms bind you as they bind us. We list the ones that matter in the handover note.
13. Acceptable use
We will not build, run or advise on anything intended to:
- break Indian law or the law where the system will be used;
- run unlicensed gambling, or trade in drugs, weapons or counterfeit goods;
- create or spread malware, phishing pages or other tools for breaking into systems without permission;
- send spam or scrape other platforms against their terms;
- track or profile identifiable people without a lawful basis and their knowledge;
- host material that exploits children or is otherwise unlawful;
- make misleading financial, medical or investment claims;
- infringe anyone else’s intellectual property, privacy or publicity rights.
You also agree not to probe, overload, reverse engineer or interfere with this website, scrape its catalogue, or place fraudulent orders.
If we find our work being used in any of these ways, we stop immediately and report it where the law requires. No refund is due for work already done in that case.
14. What we promise, and what we do not
What we promise.
- The work is done with reasonable skill and care by people experienced in it.
- On delivery, the deliverables will materially match the service page.
- We have the right to grant the rights in clause 9, and to our knowledge the work does not infringe anyone else’s intellectual property.
The 15-day fix. If, within 15 days of delivery, you report a material defect caused by our work rather than by a change on your side, we fix it at no charge. That fix, or a refund under the refund policy where we cannot fix it, is your main remedy.
What we do not promise.
- That any software is free of every defect. No one can honestly promise that.
- That the work will keep running unchanged as browsers, operating systems, hosting platforms and third-party services change around it.
- Any business result, such as revenue, conversion, uptime, speed, rankings or savings.
- That a security test or review finds every weakness. It reports what was found within the agreed scope and time, and is not a certificate of security.
- That this website or your dashboard will always be available without interruption.
To the extent the law allows, all other warranties and conditions implied by law are excluded.
15. Limitation of liability
- Our total liability arising from or connected with a service, on any basis, is limited to the amount you actually paid for that service.
- Neither side is liable for indirect or consequential loss, such as lost profit, lost revenue, lost data, loss of goodwill, business interruption or wasted time.
- We are not liable for loss caused by a failure on your side to keep backups, test before going live, keep software updated after delivery, or act on a risk we pointed out in writing.
- Any claim must be made within 12 months of the delivery date of the service concerned.
Nothing here limits liability that the law does not allow to be limited, including for fraud, wilful misconduct or gross negligence. Your statutory rights as a consumer are not affected.
16. Suspension and termination
You can stop buying from us at any time. There is no minimum term and nothing renews automatically.
We may pause work, or end an order, where:
- a payment fails, is reversed or is charged back;
- items, answers or access we asked for have still not arrived 30 days after we asked;
- clause 13 has been breached;
- continuing would put us in breach of the law;
- either side becomes insolvent or stops trading.
If an order ends early, the Refunds & Cancellation policy decides what is refunded, based on how far the work had gone. Work in progress that you have paid for is handed over as it stands, and any access you gave us is handed back. Clauses 9, 10, 11, 14, 15 and 18 continue after termination.
17. Force majeure
Neither side is liable for delay or failure caused by events genuinely beyond its reasonable control, such as natural disaster, fire, flood, epidemic, war, civil unrest, government action, a failure of national power or telecom networks, or a major internet or hosting outage.
The affected obligations are suspended for as long as the event lasts, and we will tell you promptly what has happened and what it means for your date. If it lasts more than 30 consecutive days, either side may end the affected order in writing, and we refund the amount for anything not yet delivered.
18. Governing law and disputes
These terms, and any dispute arising from them, are governed by the laws of India.
Before anything formal, please use our grievance process, which has a named route and published response times. If that does not resolve the matter, both sides will try in good faith to settle it within 30 days of a written notice of dispute.
Failing that, the courts with jurisdiction over our registered office, given in clause 2, have exclusive jurisdiction. Nothing here removes your right to approach a consumer commission under the Consumer Protection Act, 2019.
19. General terms and changes
- Notices. Notices under these terms are given in writing, by email to info@sellveera.com, or by post to the address in clause 2.
- Transfer. You may not transfer this agreement without our written consent, which we will not refuse unreasonably. We may transfer it to a successor of our business without affecting your rights.
- No partnership. Nothing here creates a partnership, joint venture, agency or employment relationship.
- Severability. If a clause is found unenforceable, the rest still applies and that clause is read as narrowly as needed.
- No waiver. Not enforcing a right once does not mean giving it up.
- Entire agreement. These terms, the service page you bought from and any document we have both signed are the whole agreement. Anything said on a call is not part of it unless it was confirmed in writing.
- Language. The English version of these terms governs.
- Changes. We may update these terms. The version published here when you place an order governs that order, and the date at the top always shows the current version.
20. Contact
